These Terms of Service (“Terms”) govern access to and use of the Justice Compliance website, software platforms, and related services (collectively, the “Services”) provided by Justice Compliance (“Justice Compliance,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms.
1. Acceptance of Terms
By accessing the Justice Compliance website or using any Justice Compliance Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are accessing the Services on behalf of a government agency or organization, you represent that you have authority to bind that entity to these Terms.
2. Description of Services
Justice Compliance provides software solutions and support services designed to assist law enforcement agencies and criminal justice organizations with compliance management, operational workflows, reporting, and oversight.
Specific features, functionality, and service levels are defined by written agreements, statements of work, or subscription orders executed between Justice Compliance and the customer.
3. Eligibility
The Services are intended solely for:
- Authorized government agencies
- Law enforcement organizations
- Approved organizational users
You must be authorized by your organization to access and use the Services.
4. User Accounts
4.1 Account Responsibility
Users are responsible for:
- Maintaining the confidentiality of login credentials
- All activity occurring under their account
- Ensuring access complies with agency policy
4.2 Authorized Use
Accounts may only be used by individuals expressly authorized by the subscribing organization. Sharing credentials is prohibited.
5. Acceptable Use
You agree not to:
- Access systems without authorization
- Attempt to bypass security controls
- Introduce malicious code
- Use the Services for unlawful purposes
- Misuse or improperly disclose agency data
Justice Compliance reserves the right to suspend access for violations of acceptable use or security policies.
6. Intellectual Property Rights
6.1 Justice Compliance Property
All software, documentation, designs, trademarks, and content provided by Justice Compliance remain the exclusive property of Justice Compliance.
6.2 Customer Data
Customers retain all rights to their data. Justice Compliance does not claim ownership of agency data.
7. Customer Data and Privacy
Justice Compliance processes customer data solely to provide contracted Services.
- Customer data is handled in accordance with the Privacy Policy
- Justice Compliance acts as a service provider/data processor
- Access is restricted, logged, and auditable
- Data use is limited to customer-authorized purposes
8. Payment Terms
8.1 Fees
Fees, billing schedules, and payment terms are defined in applicable subscription agreements or procurement documents.
8.2 Taxes
Customers are responsible for applicable taxes unless exempt under law.
9. Term and Termination
9.1 Term
These Terms remain in effect while you access or use the Services.
9.2 Termination for Cause
Justice Compliance may suspend or terminate access for:
- Material breach of these Terms
- Security violations
- Unlawful use
9.3 Effect of Termination
Upon termination:
- Access to the Services will be disabled
- Data handling will follow contractual and legal requirements
10. Warranties and Disclaimers
The Services are provided “as is” and “as available.”
Justice Compliance does not warrant that:
- Services will be uninterrupted or error-free
- Results will meet specific operational outcomes
- Compliance determinations replace agency legal judgment
To the maximum extent permitted by law, all implied warranties are disclaimed.
11. Limitation of Liability
To the extent permitted by law:
- Justice Compliance shall not be liable for indirect, incidental, or consequential damages
- Total liability shall not exceed the fees paid under the applicable agreement during the prior twelve (12) months
Some jurisdictions may limit these exclusions.
12. Indemnification
Customers agree to indemnify and hold harmless Justice Compliance from claims arising from:
- Unauthorized use of the Services
- Violation of law or policy
- Misuse of customer data
13. Dispute Resolution
Unless otherwise required by applicable law or government contracting rules:
- Disputes shall be resolved through good-faith negotiation
- Venue and procedures are governed by the governing law provision
14. Governing Law
These Terms are governed by the laws of the State specified in the applicable customer agreement, without regard to conflict-of-law principles.
Government entities may be subject to jurisdiction-specific legal requirements.
15. General Provisions
- Severability: Invalid provisions do not affect remaining terms
- Assignment: Requires written consent unless by operation of law
- No Waiver: Failure to enforce does not waive rights
- Entire Agreement: These Terms supplement executed customer agreements
16. Changes to Terms
Justice Compliance may update these Terms from time to time. Updates will be posted with a revised effective date.
